These terms are an agreement between BSA Corp Pty Ltd (ACN 680 726 327), which operates Verbafy ("Verbafy", "we", "us"), and the business or organisation that creates a Verbafy account ("you"). They cover the website at verbafy.app, the dashboard at hub.verbafy.app, the widget script served from cdn.verbafy.app, and our API. By creating an account or using Verbafy you accept these terms. If you accept for a business, you confirm that you have authority to bind it. Our Privacy Policy explains how we handle information.
The short version
- Verbafy translates whatever text is on a page where you install it. You decide which pages and areas it reads, and you keep confidential and sensitive information off them.
- Translations are machine translations. They can be wrong. Review anything that matters before you rely on it.
- Your plan renews until you cancel. Cancel any time from your Billing page; it takes effect at the end of the period you have paid for.
- We do not use your content to train AI models, and neither do our translation providers.
- Our liability is capped at what you paid us in the previous 12 months, except where Australian law says otherwise.
The short version does not replace the full text below.
What Verbafy does
Verbafy translates the text of your web pages into the languages you choose, stores the translations, and shows them to your visitors through the widget script you install. You can edit any translation in the dashboard, and your edits are what visitors see.
Translations are produced by machine translation engines run by other companies. Today that is Google Cloud Translation, and Anthropic's Claude models (such as Claude Haiku) where we use AI translation. We may add or change engines, and our Privacy Policy names the ones in use. You can also connect your own AI tool to translate a language; those translations come from your tool under your agreement with its provider, not from us.
We may improve or change Verbafy over time. If a change materially reduces what you pay for, we will give you at least 30 days' notice, and you can cancel and have the unused part of any prepaid period refunded.
Your account
Verbafy is for businesses and organisations. You must be at least 18 and able to enter a binding contract. Give us accurate details and keep them up to date.
Keep your sign-in details secret. You are responsible for everything done through your account, including by the people you invite to your team, and for making sure they follow these terms. Tell us at [email protected] straight away if you think your account has been compromised.
Your content and what you must keep out
You own the text on your website. You give us a licence to copy, store, send to our translation providers, translate and display it, only as needed to run, secure and support Verbafy. We do not use it for anything else.
Verbafy translates whatever text appears on a page where the widget runs. It cannot tell public text from confidential text. You decide which pages and which areas of a page it reads, using the excluded pages and never-translate controls in the dashboard, and by keeping the script off pages it should not see. Verbafy never reads what a visitor types into a form.
Do not install the widget on, or send us, pages that show:
- information you must keep confidential, such as material under a non-disclosure agreement or legal advice;
- sensitive personal information about anyone, such as health, financial or government identifiers, or information about children;
- card numbers, passwords or other credentials.
That usually means keeping the widget off logged-in areas, customer portals, checkout pages and anything that displays personal details about your customers, patients or members. If such content reaches us anyway, tell us at [email protected] and we will delete it.
You confirm that you have the rights and any consents needed for us to process your content as these terms describe, and that it does not break the law or infringe anyone's rights. We may refuse to translate, or remove, content that we reasonably believe breaks these terms, the law, or a translation provider's rules. Where we can, we will tell you first.
Translations
Machine translation is not perfect. A translation may be inaccurate, incomplete or wrong for your audience, and can occasionally change the meaning of a sentence, a name, a number or a date. You are responsible for reviewing translations before you rely on them, and for deciding whether machine translation suits a page at all.
Do not rely on an unedited translation for legal, medical, financial, safety or regulatory content, or anywhere an error could cause harm. Have that content checked by a qualified translator.
You may use the translations we produce for your site however you wish. We claim no rights in them. We do not guarantee they are unique: similar text from another customer may produce a similar translation.
We do not use your content or its translations to train AI models, and the terms we have with our translation providers do not allow them to either.
Our translation providers have rules of their own. If one of them requires a notice to be shown beside its translations, we will tell you before it applies to your site.
Your visitors
You control your website and decide where the widget runs. When a visitor's browser asks us for a translation, we receive the address of the page, the page's text, the language they chose and the technical details any web request carries. We use that only to serve the translation and to protect the service. Our Privacy Policy says exactly what the widget stores in a visitor's browser.
Your own privacy notice should mention that Verbafy translates your site. We provide Verbafy to you, not to your visitors, and we have no contract with them.
Acceptable use
You must not, and must not let anyone else:
- use Verbafy to break the law or infringe anyone's rights;
- translate or publish content that is defamatory, deceptive, hateful or harassing, that sexualises minors, or that promotes violence or terrorism;
- use Verbafy to create or spread malware, spam or phishing content, or to impersonate others;
- resell Verbafy or offer it as your own service without our written agreement;
- copy, modify or reverse engineer Verbafy or the widget, except where the law allows;
- scrape Verbafy, send requests at a rate that interferes with it, or bypass its usage limits or security controls;
- use Verbafy or its translations to build or train a competing translation or AI system.
The trial, plans and limits
A new account starts with a 7-day trial that includes 5,000 translated words. No card is needed. After the 7 days, what the trial translated keeps showing on your site for 30 more days, and new text waits until you choose a plan. Nothing is deleted.
Each plan includes a total number of translated words across all your sites, counted once per word and per target language. Page views, repeat visits and your own edits do not count. The limit is a size, not a monthly figure: it does not refill. If you reach it, your existing translations keep showing and new text is not translated until you move to a bigger plan or remove content from your site. Words on content you remove stop counting after about 90 days. Your usage is shown in the dashboard, and the current plans and figures are on the pricing page.
Fees and payment
Payments are processed by Stripe, by card, in advance, monthly or annually. By giving Stripe a payment method you authorise us to charge it for your plan when due. Stripe emails you a receipt for each payment, and you can see your invoices from your Billing page.
Prices are shown in US dollars excluding any taxes that apply where you are, and in Australian dollars including GST for customers in Australia, where your invoice shows the GST and our ABN. If you are outside Australia you are responsible for any taxes in your country.
Your plan renews automatically at the end of each billing period, for the same period, until you cancel. Moving to a bigger plan takes effect straight away; moving to a smaller one takes effect at the end of the current period.
We may change prices by giving you at least 30 days' notice by email. A change applies from your next renewal after that notice. If you do not accept it, cancel before it takes effect. A price change never alters a period you have already paid for.
If a payment fails, Stripe retries it and we let you know. Your site keeps translating for 7 days of grace. After that, new text waits until the payment goes through, and your existing translations keep showing for 30 days.
Cancellation and refunds
You can cancel your plan at any time from the Billing page in your dashboard, which opens Stripe's customer portal. Cancellation takes effect at the end of the period you have already paid for; you keep the full plan until then. After that your translations keep showing on your site for 30 days, and new text waits for a plan. We do not delete your translations when you cancel. We keep them for as long as we reasonably can so they are ready if you come back, and we may remove them after that at our discretion.
Because you can cancel at any time and keep what you paid for until the end of the period, we do not refund payments for part-used periods. This does not limit any right you have under the Australian Consumer Law or any other law we cannot exclude.
If you want your account and its data deleted, email [email protected] and we will delete it within 30 days, apart from records we must keep by law.
Suspension and ending the service
We may suspend or close your account, with notice, if you break these terms and do not fix it within 14 days of our telling you (or straight away for a serious breach that cannot be fixed), if your plan is 30 days overdue, if we reasonably believe your use creates a security or legal risk to us, to other customers or to our providers, or if the law requires it.
We may stop offering Verbafy, or your plan, by giving at least 60 days' notice and refunding any prepaid amount for the period after it stops.
If your account ends, translation stops and the widget no longer serves translations. Email [email protected] if you want your data deleted, as above.
Our service and the Australian Consumer Law
Our services come with guarantees that cannot be excluded under the Australian Consumer Law. Where those guarantees apply to you and the law allows us to limit our liability for failing to meet them, our liability is limited, at our option, to supplying the service again or paying the cost of having it supplied again. Nothing in these terms excludes or limits any right you have under the Australian Consumer Law or any other law that cannot be excluded.
Apart from that, and to the extent the law allows, Verbafy is provided as is. We do not guarantee that translations are accurate or suitable for a purpose, or that the service will be uninterrupted or error-free.
Liability
To the extent the law allows, neither of us is liable to the other for loss of profit, revenue, business, goodwill or data, or for indirect or consequential loss, however it arises.
To the extent the law allows, our total liability for everything connected with these terms or with Verbafy is capped at the amount you paid us in the 12 months before the claim arose. This cap does not apply to fraud, to your obligation to pay for your plan, or to liability the law does not let us limit.
We are not liable for loss caused by relying on a translation you have not reviewed, or by content you sent us that these terms say to keep out.
You will cover our losses and reasonable legal costs from any third-party claim or regulator action that arises because your content broke the law or infringed someone's rights, or because you broke the sections above on your content, your visitors or acceptable use.
Privacy and security
Our Privacy Policy explains what we collect, where it goes and how long we keep it. Where your content or your visitors' data includes personal information, we handle it on your instructions to run Verbafy, and you are responsible for complying with the privacy laws that apply to you, including telling your visitors about Verbafy where the law requires it. If you need a signed data processing agreement, email [email protected].
We protect data with encryption in transit and at rest and with access controls. If we become aware of a data breach that affects your data, we will tell you without undue delay.
Intellectual property
We own Verbafy: the service, the widget, our software, documentation and branding. These terms give you a limited, non-exclusive right to use Verbafy for your business while you have an account, and nothing more. If you give us feedback or suggestions, we may use them without any obligation to you.
Changes to these terms
We may change these terms. For a change that materially affects you, we will give at least 30 days' notice by email or in the dashboard before it takes effect, and you may cancel before then. Changes required by law, or needed for security or a provider's rules, may take effect sooner. Using Verbafy after a change takes effect means you accept it.
General
These terms are governed by the laws of New South Wales, Australia, and each of us submits to the courts there. Before starting court proceedings (other than for urgent relief), each of us will give the other written notice of the dispute and try in good faith to resolve it within 30 days.
We send notices to the email address on your account; you send notices to [email protected]. You may not transfer these terms without our written consent, which we will not unreasonably withhold; we may transfer them to a successor if we sell the business, and will tell you if we do. Neither of us is liable for delay or failure caused by events outside our reasonable control, such as an outage at a translation provider or a hosting provider, though this does not excuse payment. These terms are the whole agreement between us about Verbafy. If part of them is unenforceable, the rest still applies, and not enforcing a right is not a waiver of it.
